3. 合格投标人

3.1 在中华人民共和国正式注册，具有独立法人地位的风电机组制造企业，注册资金（略）（含）以上；

3.2 具有单机容量（略）kW及以上风电机组设备的总装能力；

3.3 所投机型在中国境内有生产、安装并通过（略）小时试运行的业绩；

3.4 所投机型具有低电压穿越功能，具有风机功率控制功能，满足GB/T（略）-（略）《风电场接入技术规定》的相关规定；

3.5 具备完善的质量管理体系、良好的财务状况、银行资信和商业信誉。

4. 各投标人按包投标，不得再行（略）解只投其中的一部（略），否则视为非实质性响应，按无效标处理。标书制作、评标、定标以包为单位进行。本次招标不接受代理商和联合体的投标。

“披露方”指披露或致使机密信息披露给协议另一方的一方；

BY VIRTUE OF THE ABOVE, THE PARTIES HEREBY AGREE AS FOLLOWS:

鉴于上述事项，双方一致同意以下条款：

1. As used herein, “Confidential In***ans the original wind data、 provided by the Disclosing Party.

本协议中“机密信息”是指披露方告知接收方的关于项目的原始测风数据、地形图和项目的可行性研究报告。

The term “Confidential Information” does not include the***rmation:

d) The technology developed by the Receiving Party independently, without use the******om the Disclosing Party.

上述所称的“机密信息”不包括如下的信息：

a) 接收方从披露方接收到机密信息之前已经熟知的信息（并有充（略）的权利进行披露）；

b) 非因接收方违反本协议之约定，已经或正在成为公众可以获取的信息；

c) 由第三方合法提供给接收方的信息；

d) 未使用披露方的技术资料，由接收方独立开发出来的技术。

The Receiving Party has the***ving any of the above exceptions.

接收方有义务证明任何上述例外情况。

2. The confidentiality obligation shall apply in particular, but not be limited to, the following items:

保密义务应特别适用但不限于下列项目：

a) Use of technology to design and manufacture wind turbine generato***ponents (including towers).

使用工艺技术设计和制造风力涡轮发电机及其（略）件（包括塔筒）。

b) The drawings, models, specifications, ***cedures, manuals and in general ***rmation developed by any of the parties hereto with respect to the Project, whe***duced by any of the parties hereto or by a third party at the instruction of any of the parties hereto.

制图，样式，规格，标准，程序，手册和由与项目有关的一方因此研发出来的任何其他信息，无论是由上述双方的任何一方在此基础上产生的或是由第三方在上述双方的任何一方的指导下产生的。

c) The reports, records and any k***ntation having an economic, technical, finan***rcial, legal or other nature which is related to the Project and has been produced by any of the parties hereto or their respective subcontractors, directly or through th***panies or affiliates.

和项目有关并且已经被本合同双方的任何一方产生或他们各自的转包（略）或者（略）公司产生的含有经济、技术、财务、商业、法律或其他性质的信息、报告、记录和任何种类的文档。

d) The confidentiality undertaking shall be extended to all inventions, derivatives and result***om the use and******rmation disclosed.

保密承诺将适用于所有的发明创造及其衍生物并且包括由于使用和/或开发被透露信息而取得的成果。

Both Parties acknowledge that the Confidential Information brings or will bring economic benefits to the Disclosing Party.

双方承认机密信息会给或将会给披露方带来经济上的利益。

3. The Receiving Party agrees:

接收方同意：

a) to receive, treat and keep such Confidential Informatio***om the Disclosing Party in the strictest confidence and in good faith, and shall be responsible for maintaining the confidentiality;

按照最严格的保密等级从披露方接收上述机密信息，做好这些机密信息的接收、处理和保密工作，并对保持机密信息的机密性负责；

b) <***ain from using it directly or indirectly otherwise than for ***nt of the Project in favor of the Disclosing Party;

除为了披露方利益开发项目而使用机密信息外，禁止直接或间接地使用机密信息；

c) to limit the disclosure of such Confidential Information to trusted personnel in its organization who, having a need to know said Confidential Information, will be obliged to maintain it confidential;

为了限制上述机密信息的泄露，对于其机构内确有必要了解上述机密信息的工作人员，应使其承担保密义务；

d) not to directly or indirectly disclose or distribute or permit to be disclosed or distributed such Confidential Information to any oth***anization or entity without prior written consent of the Disclosing Party.

在没有披露方事先书面同意的情况下，不得以任何直接或者间接的方式透露、传递，或者允许其他人透露或者传递机密信息给任何其他个人、机构或企业。

e) without the prior written consent of the Disclosing Party, not in any way use such Confidential Information or any kn***rmation which it may acquire as a result of receiving such Confidential Information in any way which is in furt***petition with the Disclosing Party or which is otherwise directly or indir***ntal to the interests of the Disclosing Party or for any purpose whatsoever other than for the purpose of Project.

在没有披露方事先书面同意的情况下，不得以任何方式使用机密信息或者任何作为接收机密信息结果获得的知识或者信息，从而导致加剧同披露方的竞争或者直接或间接损害披露方的利益，或者出于任何非项目目的而进行使用。

f) without the prior written consent of the Disclosing Party, not***duce or store for later retrieval in any way or permit to be***duced or stored for later retrieval in any way such Confidential Information or any part of such Co***rmation.

在没有披露方事先书面同意的情况下，不得以任何方式复制，存储或者允许其他人复制、存储机密信息以在将来复原后再次使用。

4. The Receiving Party acknowledges that such Confidential Information has been and***vided to it or for its benefit solely for the purpose of developing and evaluating the Project and the Receiving Party agrees that:

接收方承诺其了解到，机密信息已经并且将仅以开发和评价项目目的向其披露，接收方在此同意：

(a ) it shall be solely responsible for its***nt and evaluation of such Confidential Information

自行负责其对于机密信息作出的评估及评价。

(b) none of the entry into of******vision of such Confidential Information to or for the benefit of the Receiving Party nor anything contained in such Confidential Information shall constitute a warranty or representation (expressed or implied) as to the accuracy, a***pleteness of such Confidential Information; and

签订本协议，机密信息中有利于接收方的规定或者机密信息中的任何内容均不得视为对于机密信息准确性、充（略）性及完（略）性的任何明示或者暗示地保证或者陈述。

(c) the Disclosing Party shall not have any liability to the Receiving Party ***om the Receiving Party’s use of such Confidential Information.

披露方不对接收方使用机密信息导致的结果承担任何责任。

5. Nothing in***nt s***d or interpreted as a granting by the Disclosing Party of any license or technology transfer or the contracting***nt services with the Receiving Party. Likewise nothing in***nt shall be cons******om the Disclosing Party beyond the stipulations contained herein.***nt does not confer to the Receiving Party the right to ***rmat******om the Disclosing Party if the Disclosing Party decides to terminate any conversations or negotiations initiated, in which case the Receiving***s the obligation to keep strictly confid***rmation received or developed up to the date of such termination.

本协议中包含的任何规定均不得视为或者解释为披露方通过许可证、技术转让或者开发服务合同而给予接收方一个许可。同样本协议中包含的任何规定均不得被解释为披露方在此做出超过本协议规定的承诺。本协议并未授予接收方关于从披露方获得任何信息或文件的权利，如果披露方决定终止任何开始的会谈或谈判，在这种情况下，接收方承担对其得到的任何信息或截至到会谈或谈判终止之日的信息严格保密的义务。

6. The Confidential Information shall remai***perty of the Disclosing Party. The Receiving Party shall not either directly or indi*** any owne***perty right or interest to the Confidential Information or any derivative thereof.

机密信息属于披露方的唯一专有财产。接收方不能直接的或间接的享有任何关于机密信息或其衍生物的所有权、财产权利或者利益。

7. The Receiving Party shall be liable for and indemnifies the Disclo***om and against losses which incurs***om or by virtue of the unauthorized disclosure or use of such Confidential Information by the Receiving Party or by any of the Receiving Party’s representatives or any of such persons otherwise being in breach of ***visions of***nt.

接收方应当对披露方因接收方或其代表非经授权对于机密信息的披露，使用或者其他对于本协议的违反而产生、招致的损失承担责任并且进行赔偿。

8. The Receiving Party acknowledges and accepts that the value of the Confidential Information to the Disclosing Party is unique and substantial. The parties agree that, in the event of an actual or threatened violation of***nt, the Disclosing Party will be entitled to ***nt of***nt by injunctive relief, specific performance or other relief.

接收方承认并同意机密信息的价值对于披露方是独特的和重要的，双方一致同意，如果出现违反本协议或者有违反本协议的可能，披露方将有权通过特定履行或其他方式强制执行本协议。

9. All information furnished by the Disclosing Party ***diately returned or destroyed by the Receiving Party upon request of the Disclosing Party.

应披露方要求，由披露方提供的所有信息应由接收方立即返还或者销毁。

（略）. The terms and conditions of***nt may not be modified or waived except in writing by authorized representatives of each of the Parties.

未经双方授权代表书面认可，本协议的条款和条件不得修改或废止。

（略）. Neither party may assign any of its rights or obligations under***nt without the prior written consent of the other party.

任何一方未经对方事先书面同意，不得转让其在本协议项下的任何权利和义务。

T***nt shall be effective as of the date of signature and stamp by the Parties hereto and shall remain in***enty (（略）) years.***nt is made in English and Chinese in duplicate with each party holding one original. In case of any dis***een the English and Chinese versions, the English version shall prevail.

此协议自双方签字盖章之日起生效并且有效期二十年。本协议语言为中文和英文，一式二份，双方各持一份。如果中文文本与英文文本之间不一致，则以英文文本为准。

（略）. All disputes***om, or in connection with the execution o***nt, shall be settl***iendly di******o parties. In case ***nt is reached, the disputes shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) for Arbitration. The Tribunal ***posed of three arbitrators. The arbitration shall be conducted in Beijing in accordance with CIETAC arbitration rules and the rendered award is final and binding on both parties and the applicable law is the laws of PRC. The arbitration shall be held in English language. In the course of arbitration, both parties shall continue to perfor***nt with the exception of the terms in dispute.

任何由本协议的签订引起或与本协议的签订有关之争议均应通过双方友好协商解决。若经协商不能解决，则争议应提交中国国际经济贸易仲裁委员会（CIETAC）进行仲裁。仲裁庭应由三名仲裁员组成。仲裁应在北京并依照CIETAC规则进行。仲裁（略）裁决并对双方均具有约束力。适用法律为中国法律。仲裁使用的语言为英语。在仲裁期间，除有争议的条款外，双方应继续履行本协议。

（略）. The effect, interpretation and performance o***nt are governed by laws of the People’s Republic of China in all respects and are construed therewith.

本协议的效力、解释和履行在各个方面均受中华人民共和国法律管辖并据此解释。
